Terms of Service
Effective October 12, 2026
These terms are an agreement between you and Novaluna LLC (“Novaluna”, “we”, “us”), a company based in Plainsboro, New Jersey, United States, which operates taxee.ai and the Taxee Books application (the “Service”). By creating an account or using the Service you agree to them. If you are using the Service for a business, you confirm you have authority to agree on its behalf, and “you” includes that business.
1. Eligibility and accounts
You must be at least 18 years old. You agree to give accurate account information, to keep your password and sign-in methods confidential, and to tell us promptly if you believe your account has been compromised. You are responsible for everything done through your account. We may ask you to verify your email address before certain actions, such as inviting other people.
2. Organizations, roles and invitations
Data in the Service belongs to an organization (a set of books). The owner of an organization controls who belongs to it and with which role. Owners and members can change the books; viewers can read and export them. If you invite someone, you are responsible for choosing an appropriate role, and if you accept an invitation you agree that the organization’s owner can see your activity in those books.
3. What the Service is, and is not
Taxee Books is bookkeeping software. It imports statements, suggests categories, detects transfers and anomalies, tracks invoices and bills, and produces reports and an accountant package. It is not accounting, tax, legal or financial advice, and Novaluna is not an accounting firm, a tax preparer or a bank. Decisions about how to classify and report your finances remain yours and your advisers’. Bank connections made through Teller are read-only; the Service never initiates payments or transfers. When you connect a bank you also agree to the terms Teller shows you at that time.
AI features. Categorization suggestions, extracted receipt and bill details, narratives and assistant answers are generated by an AI model and can be wrong, incomplete or out of date. They are presented as suggestions for a person to review, and you agree to review them before relying on them. Any write action the assistant proposes runs only after you confirm it.
4. Your data
You own the data you put into the Service. You grant us the limited right to store, process and transmit it as needed to provide the Service to you and the people you invite, including sending the relevant parts to the service providers described in our Privacy Policy. You are responsible for the data you upload, including having the right to upload information about your customers, vendors, employees or clients. You can export your data at any time, and you can ask us to delete it as described in the Privacy Policy.
5. Our rights in the Service
The Service, including its software, design, text and trademarks, belongs to Novaluna and its licensors. We grant you a limited, non-exclusive, non-transferable right to use it for your own bookkeeping, or for the bookkeeping of clients you serve, in accordance with these terms. You may not copy, modify, reverse engineer or create derivative works of the Service except as the law allows. If you send us ideas or feedback, we may use them without obligation to you.
6. Plans, trials and billing
The Free plan is free of charge with the limits shown on our pricing page. Paid plans are billed monthly or annually in advance through Stripe at the prices shown when you subscribe, and they renew automatically at the end of each billing period until you cancel. Your first paid subscription starts with a 14-day trial; Stripe collects a payment method when you start it and charges it when the trial ends unless you cancel first. Later subscriptions do not include a trial. You can change or cancel your plan at any time from the billing portal in Settings; a cancellation takes effect at the end of the current billing period, and we do not refund partial periods except where the law requires. Prices may change with at least 30 days’ notice by email; the new price applies from your next renewal. You are responsible for any taxes that apply to your subscription. If a payment fails we will notify you and may limit paid features until it is resolved.
7. Acceptable use
You agree not to:
- use the Service for anything unlawful, or upload data you do not have the right to use;
- attempt to access another organization’s data, probe or test the security of the Service without our written permission, or interfere with its operation;
- scrape the Service, resell access to it, or use automated means to exceed the limits of your plan;
- upload malware or content that infringes someone else’s rights;
- misrepresent who you are or whom you act for when inviting people or sending invoices.
8. Availability, changes and your own copies
We work to keep the Service available and improving, but we do not promise uninterrupted or error-free operation and we do not offer a service-level guarantee. We may change or retire features, and we will give reasonable notice of changes that materially reduce what your plan includes. We take reasonable care to protect your data, but we do not guarantee that it can be recovered after a loss. Keep your own copies of your statements and of the accountant package; the export exists for exactly that purpose.
9. Suspension and termination
You can stop using the Service at any time and ask us to delete your organizations or account as described in the Privacy Policy. We may suspend or terminate access if you breach these terms, if your payment remains unresolved after notice, or if we must do so to protect the Service or other users; where practical we will warn you first. After termination you have 30 days to export your data unless the law requires a shorter or longer period, after which we may delete it.
10. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement, and we do not warrant that reports, categorizations or AI output are accurate or complete. Filing obligations, tax positions and financial decisions are yours.
11. Limitation of liability
To the fullest extent permitted by law, Novaluna will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from the Service or these terms, even if advised of the possibility. Our total liability for any claim is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or 100 U.S. dollars if you have paid nothing. These limits do not apply to liability that cannot be limited by law, and some jurisdictions do not allow them, so they may not apply to you.
12. Indemnity
You will defend and indemnify Novaluna against claims and costs arising from data you upload, your use of the Service in breach of these terms, or your violation of someone else’s rights or the law.
13. Governing law and disputes
These terms are governed by the laws of the State of New Jersey and the federal laws of the United States, without regard to conflict-of-law rules. If you have a dispute with us, email hello@taxee.ai first and we will try to resolve it informally within 30 days. Any claim that cannot be resolved that way must be brought in the state or federal courts located in New Jersey, and you consent to their jurisdiction, except that either party may seek injunctive relief in any competent court.
14. Changes to these terms
We may update these terms. We will update the effective date above and, for material changes, email the address on your account at least 14 days before they take effect. Continuing to use the Service after that date means you accept the updated terms.
15. General
These terms and the Privacy Policy are the entire agreement between you and Novaluna about the Service. You agree that we may give you notices, including about billing and changes to these terms, by email to the address on your account. Neither party is liable for delays caused by events outside its reasonable control, such as outages of a service provider, internet failures or natural events. If a provision is found unenforceable, the rest remains in effect. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Nothing in these terms limits rights you have under consumer law that cannot be waived.
